Accredited Investor
I am an accredited investor under securities laws of the United States of America. I have such knowledge and experience in financial and business matters so as to be capable of evaluating the relative merits and risks of any investment.
Not A Venture Fund or Broker
I understand that BNC Venture Forum (the “group”) is not a venture fund, investment bank, broker/dealer, or any other form of investment adviser. The group does not provide advice, recommendations, or any other indication of appropriateness or inappropriateness for a particular investment. BNC Venture Forum does not endorse any investment opportunity and makes no independent investigation to verify information provided by companies submitting to the group for a presentation or otherwise, and makes no representation or warranty regarding the same.
I understand that I must conduct my own analysis and due diligence to determine the appropriateness of any investment I make in any company to which I am introduced through BNC Venture Forum.
I recognize and agree that the group is not liable for any investment decision I make. The choice to use and the manner of utilization of information and knowledge gained through the group is my individual and personal choice. I understand that BNC Venture Forum meetings are not an offer to sell or solicitation to buy any security by the group or any other entity.
I understand that BNC Venture Forum may organize an investment fund (Special Purpose Vehicle or SPV), and serve as the SPV’s Lead Investor.
The BNC Venture Forum receives compensation earned in two ways:
1) as the SPV Manager for any BNC Venture Forum SPV, an annual management fee of 2.0% of committed capital, which goes to support overhead costs such as investment staff salaries, due diligence expenses, and ongoing portfolio company monitoring
2) a performance fee (or carried interest) any BNC Venture Forum SPV receives upon a closing where profits are distributed.
